1. Agreement to Terms

By accessing or using the CodesSavvy website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

CodesSavvy provides software development services including but not limited to:

  • Web application development
  • Mobile application development
  • UI/UX design
  • Cloud infrastructure setup
  • API development and integration
  • Performance optimization

Specific services, deliverables, timelines, and pricing are defined in individual project agreements or Statements of Work (SOW) provided to clients.

3. Project Agreements

All project work is governed by a separate project agreement or Statement of Work that includes:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Pricing and payment terms
  • Revision and change request policies
  • Intellectual property ownership

In case of conflict between these Terms of Service and a project agreement, the project agreement shall prevail.

4. Payment Terms

Unless otherwise specified in a project agreement:

  • A deposit is required before work begins
  • Payment milestones are defined in the project agreement
  • Invoices are due within 14 days of receipt
  • Late payments may result in project delays or suspension

5. Intellectual Property

Client Ownership

Upon full payment, clients receive full ownership of custom code, designs, and deliverables created specifically for their project.

Third-Party Components

Projects may include open-source libraries, frameworks, or third-party components. These remain subject to their respective licenses.

Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Confidentiality

We treat all client information, business plans, and project details as confidential. We will not disclose confidential information to third parties without your consent, except as required by law. Clients agree to keep our proprietary processes and pricing confidential.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards.

However, we do not warrant that:

  • Our services will meet all your requirements or expectations
  • Our services will be uninterrupted, timely, or error-free
  • Any specific business results or outcomes will be achieved

Our services are provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, CodesSavvy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • Client pays for all work completed up to the termination date
  • We deliver all completed work and materials
  • Deposits for incomplete work are non-refundable unless otherwise agreed

10. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable laws.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
